For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I, the undersigned Participant below (hereinafter referred to as “I”, “me”, “my”) hereby irrevocably authorize and grant WELCOME ASHORE, LLC (“Company”) and its parents, subsidiaries, affiliates, travel partners, agencies, designees, licensees, and assigns (collectively “Company Entities”) the absolute, irrevocable and royalty-free right and permission to photograph, record, tape, film and otherwise visually and audio visually depict me, my name, likeness, silhouette, photograph, social media handles, picture, voice, actions, conversations, statements, appearances, biographical data, any performance of any musical compositions, and/or other distinctive attributes of any kind related to me, and any result of my appearance (“Likeness”) in any manner that Company desires, including but not limited to in connection with my participation in the Project (the “Program”).

Company Entities shall have the right, but not the obligation, to use, re-use, incorporate, distribute, print, produce, publish, re-publish, copy, display, perform, exhibit, transmit, broadcast, disseminate, market, advertise, create derivative works from, alter and/or edit, my Likeness in connection with any and all photographs, films, and/or other recordings taken and/or made of or by me in connection with the Program (the “Materials”), in whole or in part, severally or in connection with other material, for any lawful purpose whatsoever, in any and all media now known or hereinafter devised, in any manner including but not limited to in connection with the advertising, promotion, marketing and publicity of Company, in perpetuity, throughout the world, and to permit others to do the same and tag any social media handles provided herein.

Company shall be the exclusive owner of all intellectual property rights and interests (including the copyright, and all other allied and/or ancillary rights and interests) in the Program, the Materials and any excerpts therefrom, and will have all rights to use the Materials and Program. The results and proceeds of my participation in the Program are and shall be deemed works-made-for-hire specifically ordered or commissioned by Company as part of an audio-visual work. To the extent that such results are not deemed a work-made for hire, and/or to the extent Company is not deemed to be the author thereofin any territory or universe, then to the fullest extent allowable and for the full term of protection otherwise accorded to me under such applicable law, I hereby irrevocably and perpetually assign to Company any and all rights or ownership to Company.

I hereby acknowledge and agree that Company is not a signatory to any guild or union, that my participation in and the Materials are not subject to any guild, union or collective bargaining agreement, and there will be no residual or any other type of payment due to me in connection with my participation in the creation of the Materials. I acknowledge and agree that I shall be responsible in determining whether or not I have any conflicts regarding any sponsorship, products, materials, or advertisements presented in the context of the Materials. I hereby agree and acknowledge that I am not guaranteed a prize or compensation in connection with my participation in the Materials. To the extent I receive a prize or any compensation in connection with my participation in the creation of the Materials, I hereby represent and warrant that I am responsible for all applicable federal and state taxes relating to the prize and/or compensation and I agree to sign any and all applicable forms required by tax authorities and Company, including but not limited to any tax forms.

I represent and warrant that all elements of my participation in the Program and use of my Likeness will not constitute libel or slander of any person, or infringe upon any third party rights (including copyright, privacy, and trademark). I agree to indemnify and hold harmless Company Entities, and the directors, officers, employees, agents, successors, licensees and assigns of each of the foregoing, from and against any and all claims, liabilities, damages, costs or expenses (including, without limitation, reasonable attorneys’ fees) (“Claims”) arising from any breach by me of any representation, warranty, covenant or agreement made by me or arising out of or relating to my noncompliance of any applicable laws and regulations. Further, I expressly waive any and all “moral rights”, “droit moral”, and any and all analogous rights, in any jurisdiction of the world in the Materials and/or Program.

Company may transfer and assign this Agreement or all or any of its rights or privileges hereunder to any entity or individual without restriction. This Agreement shall be binding on all of my successors-in-interest and heirs. I agree that the rights and remedies available to me in the event of a breach of this Agreement by Company shall be limited to the right to recover money damages, if any, in an action at law and in no event shall I be entitled to terminate this Agreement or enjoin or restrain the exploitation of the Materials. This Agreement sets forth the entire agreement between me and Company with respect to the subject matter hereof and may not be altered or amended except in writing signed by both parties. If any provision of this Agreement is determined to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. This Agreement shall be deemed to have been made in and shall be construed pursuant to the laws of the State of Florida without regard to conflicts of laws provisions thereof. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Miami, Florida.
